Welcome to the terms and conditions ("Terms") for Maxtran Wholesale Discount Membership. These Terms are between you and Maxtranusa.com Services LLC and/or its affiliates ("Maxtranusa.com" or "Us") and govern our respective rights and obligations. Please note that all sales, regardless of membership and your use of the Maxtranusa.com website and Wholesale membership are also governed by the agreements listed and linked to below, as well as all other applicable terms, conditions, limitations, and requirements on the Maxtranusa.com website, all of which (as changed over time) are incorporated into these Terms. If you sign up for a Wholesale membership, you accept these terms, conditions, limitations and requirements, as welll as, our general Terms of Sale.
Current Maxtran Wholesale Membership Fee

$150.00 Annual Membership (Save 30% on Purchases)
From time to time, we may offer different membership terms, and the fees for such membership may vary. The Wholesale membership fee is non-refundable except as expressly set forth in these Terms.
How it Works
The prices listed in our store are default to “NON-MEMBERS” for the public. IF you would like to receive either of our discount program benefits merely access the page directly by clicking on the MEMBERSHIP link in the site’s top navigation. Once you arrive at the Membership page You can choose either a 20% or 30% discount membership by clicking on the applicable DETAILS button that will forward you to the actual Membership Order Page. Once you ADD your membership to your cart the prices within the cart and any new products will reflect the MEMBER pricing if you DO NOT remove the subscription from the cart. If you remove the subscription all discounts will be removed and show the NON-MEMBER prices. Your benefits will begin with your 1st order and be applied to the existing cart as soon as the payment is processed. After the order you will be given access to your membership Account within your Customer Account.
Sign-up & Membership Billing
When signing up for Maxtran Wholesale you agree to the Maxtran Wholesale Terms & Conditions herein and all Terms of Use found by clicking the About Maxtran tab on the homepage. Your subscription will continue for 12-calender months (365 days) and will cease on the 365th day of your membership. If you choose to continue, you will have to purchase a new membership at the current Maxtran Wholesale cost. UNLESS YOU NOTIFY US BEFORE YOUR EXPIRATION DATE CHARGE THAT YOU WANT TO CONTINUE WITH YOUR MEMBERSHIP, YOU UNDERSTAND YOUR WHOLESALE MEMBERSHIP WILL AUTOMATICALLY BE CANCELLED AND YOU WILL LOSE ALL DISCOUNTS AND OTHER BENEFITS OR MEMBERSHIP PREVIOUSLY OFFERED.
Pause Your Maxtran Wholesale Membership
You cannot pause your membership for any reason once the 12-month clock begins after purchase. If you won't be using your Wholesale benefits for a while, you can cancel your membership however there are no partial, pro-rated or full refunds.
Note: Subscriptions tied to your Maxtran Wholesale membership end when your membership billing is paused.
Membership Cancellation
Since your membership includes 12-calender months of benefits from the day of your membership purchase there are NO Refunds on any of the products that have been purchased with the discounted membership discounts. You can cancel your membership at anytime but you will not receive a refund for any part of your paid membership and all parts purchased under the terms of your membership will only be refunded the discounted prices if they qualify for a return or refund. Once your membership becomes inactive you are ineligible for any refund without paying the full the “NON-MEMBER” full price listed on each of the product pages. Due to the large discount on our products as a benefit of your membership there are no partial or full refunds once an order is placed.
Forced Cancellation of Membership
If all eligible payment methods we have on file for you are declined for payment of your membership fee, you must provide us a new eligible payment method promptly or your membership will be canceled. If you provide us with a new eligible payment method and are successfully charged, your new membership period will be based on the original renewal date and not the date of the successful charge.
Personal Concierge Benefits
Once you sign up for a Maxtran Wholesale Discount membership and place your 1st order you will receive an email from our Personal Account Concierge who will be your contact for anything you need while your membership is active. You will be able to ask then technical questions, get custom quotes, request bulk discounts for larger orders, obtain tracking, backorder status and get additional hours of support outside our normal business hours. They will have access to your orders and information other then PCI credit card and payment data. You will have a direct phone number and email for them and can rely on them to handle any business needs you may have while under an active monthly or yearly membership.
Shipping Benefits and Eligible Purchases
Wholesale shipping benefits depend upon inventory availability, order deadlines, and in some cases the shipping address. They are limited to certain products sold by Maxtran on the Maxtranusa.com website and to certain Products eligible for Wholesale will be designated as such on their product pages. Some special products, order, handling fees, and/or taxes may still apply to eligible purchases. If only some items in your order are eligible for Wholesale, you will pay applicable shipping charges for the ineligible items. Changing or combining orders, or changing your shipping address, speed, or preferences might affect Wholesale eligibility. Certain purchases may only be entitled to Standard Shipping Maxtran Wholesale Delivery Benefits - Eligible Items and Addresses.
Products eligible for Maxtran Wholesale will be designated on the product page where it will state "Free Shipping' and at checkout where no shipping costs will be calculated. If only some items in your purchase are eligible for Maxtran Wholesale, you'll be charged applicable shipping fees for the ineligible items. Delivery benefits and speeds vary from item to item, and not all benefits and speeds are available in all areas. Addresses outside of the United States of America are not eligible for Wholesale delivery benefits.
Choosing a higher quantity for an item may make it ineligible for immediate shipping, because multiple units aren't available locally or at the same location. In this case, the option to choose Free shipping may not appear.

Delivery Benefits
Nearly all addresses in contiguous U.S. excluding Puerto Rico, Alaska, Hawaii, international destinations, P.O. Boxes, or APO/FPO addresses will receive the following shipping benefits with membership:
Certain items sold by Maxtranusa.com are marked on the product page as “Free Shipping” regardless of membership.
Items weighing over 75#’s or that require use of LTL freight shipping are not covered by membership shipping benefits.
Your benefits DO NOT include expedited shipping or 3rd party warehouse drop shipments. Mostly all items are fulfilled by Maxtran and are available for the majority of customers in contiguous US on tens of millions of eligible items. Your Maxtran membership only includes Free Standard Delivery (4–5 business days). Selection and order cutoff varies by area. Eligible for shipments to specified zip codes in several cities within contiguous U.S. Check your zip code. This is determined by your shipping address. If an item's Wholesale eligibility changes during checkout, you'll still receive free delivery on the item.
To see the most accurate Wholesale Delivery information as you shop, set up a default address for your account. For instructions, go to Add and Manage Addresses.
We may ship products by ground or air. Our delivery speeds don't correspond to any carrier-branded shipping services. Otherwise, our shipping methods apply to business days only. Remember to check the ordering cut-off time shown on the detail page. High value orders will require a signature.
Backorders
If an item you order is out of stock or unavailable to ship immediately, the shipping method time starts when the item ships. For example, it takes two business days after an item ships to reach you with Two-Day Delivery. Please see our Terms of Sale for additional information.
Product Returns & Refunds
As part of your membership, you will receive Free Returns for products that qualify as eligible under our general Maxtran Returns & Product Warranty. Your member benefits include a prepaid refund for return shipping once our evaluation is complete and deemed to be an eligible reason for the return. Unlike Non-members who must pay for their product to be returned at their own expense.
Special Member Sales Benefits
As a valued member of our Distributor Wholesale program, you will receive additional sales discounts on select products from time-to-time. Non-members will not receive these additional discounts.
Free Sales Tax Exemption Benefit
As a member you will not be required to pay any Uniform Sales Tax for purchases. We will cover these fees for you within Illinois. You may be required to fill out a Uniform Sales and Use Tax Form which can be downloaded from our Business Forms page. If you pause or cancel your membership all taxes will apply on all open orders, backorders and new orders until your membership is reactivated.
Membership Limitations
We reserve the right to accept or refuse membership in our discretion.
We may send you email and other communications related to your Wholesale membership (regardless of any settings or preferences related to your Maxtran account).
You may not transfer or assign your Wholesale membership or any Wholesale benefits, including promotion codes for Wholesale memberships or benefits, except as allowed in these terms.
Wholesale members are not permitted to purchase products for the purpose of resale, rental, or to ship to their customers or potential customers using Wholesale benefits.
Some Wholesale benefits may require certain purchase thresholds, have quantity or shipping address limitations, or require members to meet specified criteria to access them.
From time to time, Maxtran may choose in its sole discretion to add or remove Wholesale membership benefits entirely with no fault or explanation
Exclusions
The following categories and products are excluded from your membership due to volatility of material costs and everyday wholesale prices as our standard customer price. All products in the following categories are EXEMPT from discount;

- B2B Wholesale
- Surplus Parts
- Apparel
- Clearance Items
- Contract Manufactured Parts
- Special Order Parts
Agreement Changes
We may at our discretion change these Membership Terms, Our Conditions of Sale and Privacy Policy, or any aspect of Wholesale membership, without notice to you. If any change to these terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions. YOUR CONTINUED MEMBERSHIP AFTER WE CHANGE THESE TERMS CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. IF YOU DO NOT AGREE TO ANY CHANGES, YOU MUST CANCEL YOUR MEMBERSHIP.
Termination by Us
We may terminate your Wholesale membership at our discretion without notice. If we do so, we will give you a prorated refund based on the number of full months remaining in your membership. However, we will not give any refund for termination related to conduct that we determine, in our discretion, violates these Terms or any applicable law, involves fraud or misuse of the Wholesale membership, or is harmful to our interests or another user. Our failure to insist upon or enforce your strict compliance with these Terms will not constitute a waiver of any of our rights.
Limitation of Liability
IN ADDITION TO OTHER LIMITATIONS AND EXCLUSIONS IN Maxtranusa.com'S CONDITIONS OF USE, OUR TOTAL LIABILITY, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED THE LAST MEMBERSHIP FEE YOU PAID. THIS LIMITATION OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OR TERMINATION OF YOUR WHOLESALE MEMBERSHIP.
Disputes
Any dispute or claim relating in any way to these Terms or your use of Wholesale will be adjudicated in the state or Federal courts in Kendall County, Illinois and you consent to exclusive jurisdiction and venue in these courts. We each waive any right to a jury trial.
